Terms and Conditions for Wholesale
These terms and conditions ("Agreement") apply to the purchase of products ("Products") from Ophena AB ("we," "us," or "our") by the buyer ("Buyer" or "you"). By placing an order for our Products, you agree to be bound by this Agreement.
Orders: After you place an order, we will review it and, if accepted, send you an order confirmation along with payment information. All orders are subject to our acceptance, and we reserve the right to reject any order for any reason.
Payment: Payment for Products is due immediately upon receipt of our order confirmation. Payment must be made via bank transfer. Bank information will be provided to you via email along with the order confirmation. We only ship orders that were paid for. If you'd like to pay via credit card instead, please let us know and we can send you a payment link. Note that we will apply an extra charge of 2.9% to your order to cover for the payment fees we occur in that case.
Pricing: The price for our Products will be the price set out in our price list at the time of your order. We reserve the right to adjust prices due to increases in costs including (without limitation) the costs of any materials, delivery, the increase or imposition of any tax, duty or other levy and any variation in exchange rates.
Delivery Charges: Estimated delivery charges will be displayed at checkout.
- For Sweden, a flat fee of 10€ will be charged. Delivery is free for orders with value exceeding 10 000 SEK.
- For EU countries, where we can ground-ship, a flat fee of 15€ will be charged. Delivery is free for orders with a value exceeding 1000€.
- For the UK and Ireland, a flat fee of 25€ per order will be charged.
- For other non-European countries, we ship with DHL Express and the estimated charge is based on weight. This charge might, in some cases, be updated by us before we send you the payment instructions.
Shipping Providers: We primarily ship with DHL and DHL Express. If you would like to organize your own shipping, please reach out to us before placing your order.
Delivery Terms: Products are delivered from Sweden, Delivered At Place (DAP). This means that we will take care of transportation, but the buyer will need to handle import clearance and any applicable local taxes or import duties.
Express Shipments: If you require express shipment, please contact us before placing your order. We will provide you with a cost estimate.
Customization: Customizations, such as laser engraving, can be requested. Please provide further details in the "notes" field during checkout.
Returns and Refunds: We only accept returns for defective Products. You must notify us in writing within 14 days of receipt of the Products if you wish to return any defective Products.
Risk and Title: Risk in the Products will pass to you upon delivery. However, ownership of the Products will only pass to you when we receive full payment of all sums due in respect of the Products.
Limitation of Liability: Our liability in connection with the sale of Products under this Agreement is strictly limited to the purchase price of the Products.
Intellectual Property: The purchase of Products under this Agreement does not confer any right or license to any of our intellectual property rights.
Force Majeure: We will not be liable for any delay in delivery or failure to perform any of our obligations under this Agreement due to events beyond our control including but not limited to acts of God, war, flood, fire, labor disputes, strikes, lock-outs, riots, civil commotion, malicious damage, explosion, governmental actions and any other similar events.
Governing Law: This Agreement will be governed by the laws of Sweden and the parties agree to submit to the exclusive jurisdiction of the courts of Sweden.
We reserve the right to modify these terms and conditions at any time without notice.
